These Terms of Use (“Terms”) govern your access to and use of the Bidmii Quoting Tool (the “Tool”), provided by Bidmii International Inc. (“Bidmii”, “we”, “us”, or “our”). By using the Tool, you agree to be bound by these Terms.
By using the Tool, you represent and warrant that you are of the age of majority in your jurisdiction, have the legal capacity to enter into binding obligations, and that all information you provide is accurate and complete. If you are using the Tool on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
To use the Tool, you may be required to register an account using our phone and PIN system. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
The Tool uses artificial intelligence to generate preliminary estimates of project costs and scope. These estimates are for informational purposes only and are not guaranteed to be accurate. You are solely responsible for reviewing, validating, and confirming the details of any estimate before using it in proposals, contracts, or transactions. Bidmii disclaims all liability for reliance on AI-generated estimates.
NOT LEGAL ADVICE: The Tool provides optional contract clauses and legal language (including warranties, dispute resolution, disclaimers, and other contractual terms) for your convenience. Bidmii is not a law firm and does not provide legal advice. None of the clauses, terms, or language provided through the Tool have been reviewed or approved by legal counsel, and they may not be appropriate for your specific situation or comply with the laws in your jurisdiction.

No Attorney-Client Relationship: Your use of the Tool does not create an attorney-client relationship between you and Bidmii. We strongly recommend consulting with a licensed attorney in your jurisdiction before:
Disclaimer of Liability: Bidmii expressly disclaims all liability for any losses, damages, claims, or disputes arising from your use of the contract clauses, legal language, or templates provided through the Tool. You assume all risk and responsibility for the legal consequences of using such materials.
The Tool may include referral programs, including basic and network-based programs. Rules, eligibility, and rewards will be published by Bidmii from time to time. Bidmii reserves the right to change or terminate referral programs at any time without notice.
Monthly Payouts and Earnings: If you participate in any earnings, revenue-sharing, or payout programs offered by Bidmii:
You acknowledge that participation in earnings programs does not create any employment, partnership, or agency relationship between you and Bidmii, and that all payouts are discretionary and subject to change without notice.
Your use of the Tool is subject to Bidmii's Privacy Policy. You retain ownership of the content you upload, but grant Bidmii a license to use and process your data for providing and improving the Tool. All intellectual property rights in the Tool remain with Bidmii.
You may gain access to Bidmii's confidential information in the course of using the Tool. You agree not to disclose or misuse such information, except as required to use the Tool in accordance with these Terms.
THE TOOL IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDMII DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. BIDMII DOES NOT WARRANT THAT THE TOOL WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDMII WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. BIDMII'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE TOOL WILL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO USE THE TOOL IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 CAD.
You agree to defend, indemnify, and hold harmless Bidmii, its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, demands, lawsuits, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
This indemnification obligation will survive termination of these Terms and your use of the Tool. You acknowledge that Bidmii has no control over the manner in which you use the Tool or the documents you create, and you assume full responsibility for all consequences of such use.
These Terms are effective upon your first use of the Tool and remain in effect until terminated. Bidmii may suspend or terminate your access to the Tool at any time, with or without cause. Upon termination, your right to use the Tool immediately ceases, but provisions relating to intellectual property, limitations of liability, indemnities, and confidentiality will survive.
